These Terms govern your use of Auracleon’s website and any statements of work or proposals we issue.
“Services” means strategy, design, engineering, cloud, security, and managed services we provide as agreed in a written SoW or proposal.
We will define deliverables, timelines, responsibilities, fees, and payment terms in a SoW or proposal. Conflicts are resolved in favour of the SoW.
Provide timely access to stakeholders, information, systems, and approvals. Delays extend timelines.
Unless stated otherwise: invoiced monthly in AED; payable within 15 days; late payments may pause delivery.
Pre-existing IP remains with its owner.
Work product transfers to you upon full payment, except third-party components and our reusable know-how, tools, and templates which we may license to you for project use.
Both parties will protect confidential information and use it only to deliver the Services.
We process personal data according to the Privacy Policy and applicable law. You must ensure a lawful basis for any personal data you provide.
You remain responsible for your systems and access controls. We will follow agreed security practices.
We warrant Services will be performed with reasonable skill and care. To the maximum extent permitted by law, we disclaim other warranties.
For breach of warranty, we will re-perform the affected Services or credit the relevant fees.
Neither party is liable for indirect or consequential losses. Total liability is limited to the fees paid for the Services giving rise to the claim in the 12 months before the event.
Each party indemnifies the other for third-party claims arising from its unlawful use of the other’s IP or data.
No liability for delays caused by events beyond reasonable control.
Either party may terminate for material breach not cured within 30 days. Fees for work performed remain payable.
During the engagement and for 6 months after, neither party will solicit the other’s staff without consent.
We may reference your name and logo as a client with prior written permission.
These Terms are governed by the laws of the UAE. Courts of Dubai have exclusive jurisdiction.
We may update these Terms. Continued use of the site indicates acceptance of the updated Terms.
